Sonny has more than 20 years of experience in real estate, finance and corporate law, and assists clients from both the lending and development side. He works with financial institutions and national funds to develop lending forms and guidelines, and has expertise in structuring complex debt and equity vehicles. Sonny also assists owner and operator clients in the acquisition, zoning, development, leasing and financing of commercial real estate, with a particular emphasis in hospitality and telecommunications. Sonny speaks regularly at local and national conferences, and is a repeat recipient of the Illinois Leading Lawyer acknowledgement.
Sonny was formerly a partner at Katten Muchin Zavis and Levenfeld Pearlstein, and began his career at Sonnenschein Nath & Rosenthal.

Darryl Jacobs is a member of the Chicago law firm, Ginsberg Jacobs LLC. He concentrates his practice on international, federal and state tax matters, with a principal focus on pass through entities — including partnerships, LLCs and S corporations. He also has experience in corporate law, real estate and employment law. Most of Darryl’s career has been spent in the income taxation field, although his experience extends beyond it. Before returning to private practice in 2003, he was executive vice president and general counsel at a large wireless retailer, responsible for all tax issues and filings, in addition to various securities filings, litigation management, corporate and lending agreements, leases, and employment matters. In addition, his corporate experience includes mergers and acquisitions, complex corporate transactions and private placements.
Darryl regularly counsels developers, investors, syndicators and lenders on New Markets Tax Credits, rehabilitation credits, low-income housing credits and preservation easements. He has extensive experience in the structuring of joint ventures, limited liability companies and partnerships. He also has significant experience representing clients before the Internal Revenue Service and in the U.S. Tax Court. Additionally, Darryl is a regularly featured speaker at local and national tax conferences. Darryl was formerly a partner at Sachnoff & Weaver and Levenfeld Pearlstein.

Ana specializes in commercial real estate law, in particular acquisitions and dispositions of commercial real estate on behalf of investors, developers and lenders—including the financing, corporate structuring, 1031 exchange and development aspects of these transactions. Ana’s acquisition and disposition experience covers all types of real property, including multi-tenant residential, shopping mall, hotel and lodging, telecommunications sites and office/industrial properties in multiple U.S. states. She has had experience with numerous multi-state portfolio transactions. Ana has represented lenders, guarantors and borrowers in connection with new loans and the re-structuring of loans and related collateral, including SBA guaranteed loans, and advising on the real estate aspects of bankruptcy matters.
Ana has in-depth commercial leasing experience representing both tenants and landlords. She has negotiated office, retail, theater and restaurant leases, including both space and ground leases and subleases, and licenses in Illinois, New York and Colorado. Ana was previously with the law firms of King & Spalding and Wildman Harrold.

Rolando has over twenty-five years experience representing developers and owners of property in the City of Chicago and the surrounding metropolitan area. Jeffrey E. Altshul has more than 25 years of experience representing creditors and lessors in complex commercial finance, lease arrangements and corporate law. Dan represents investment and commercial banks and other financial institutions in loan originations, loan work-outs & restructurings, and note sale transactions. Dan represents such lenders with respect to both real estate and commercial loan transactions. Dan also has extensive experience representing lenders in the origination of portfolio loans and loans originated for commercial mortgage-backed securitization programs.
In addition, Dan represents lenders at the senior loan, junior loan and mezzanine loan levels and in the capacities of administrative agent, co-lender and lead lender. His practice also includes the representation of borrowers in commercial real estate loan transactions and the representation of purchasers and sellers in the acquisition and disposition of commercial real estate assets.

Michele has more than 15 years of experience in commercial real estate law and is one of the founding members of the Ginsberg Jacobs team. She represents institutional and entrepreneurial clients in sophisticated commercial real estate transactions, including the acquisition, disposition, and leasing of commercial, office, industrial and residential properties, with a particular focus on retail and office leasing on behalf of both landlords and tenants. Michele also has extensive experience representing owners, purchasers, and tenants in connection with the legal issues arising from environmentally contaminated properties, including the responsibility for ongoing reporting and remediation requirements, indemnification, access and third party liability issues. She also has significant experience representing borrowers in connection with loan workouts and forbearance agreements. Creditor's Rights
Tom represents financial institutions, secured creditors and businesses in a wide variety of litigation. He has extensive experience representing secured parties in workouts and foreclosures of retail property, hotels, large multi-family buildings, restaurants, industrial property and stalled construction projects of all types. Tom's experience includes both voluntary and involuntary repossessions and dispositions of commercial and industrial equipment collateral on behalf of secured parties, as well as opposing the competing claims of other creditors and lien claimants. As an advocate for secured creditors, Tom also works closely with receivers and disposition experts to ensure that his clients’ collateral is preserved, protected and generating revenue to the fullest extent possible during the litigation process. When appropriate, Tom also collaborates with his bankruptcy colleagues to ensure that his clients’ claims and interests are prosecuted to their fullest extent.
Tom has taken countless depositions and has tried a variety of cases to verdict in state and federal courts. Tom also regularly counsels his clients in the defense of lender liability claims, fraud actions and regulatory violation claims. In addition to formulating and implementing aggressive defense strategies against such claims, Tom helps his clients to develop internal policies and procedures aimed at avoiding exposure to such liabilities in the future.
Tom sits on the Commercial, Banking and Bankruptcy Law Section Council of the Illinois State Bar Association by the appointment of its President, where Tom vets pending legislation in the State of Illinois which may impact his clients’ interests, and makes recommendations with respect to such matters for legislative consideration. Additionally, Tom served as an Adjunct Law Professor at Loyola University Chicago School of Law, has authored several published articles and has been a guest on television programming pertaining to his fields of practice.
A sample of Tom's recent cases includes the following:
- Foreclosure of new-construction shopping center involving credit of over $65 million;
- Lawsuit against mezzanine lender for improper acceptance of multi-million-dollar payoff ahead of senior secured lender;

Jennifer E. Nichols has over 5 years of experience counseling clients concerning real estate, corporate and tax credit transactions. Jen has advised local franchisees of national restaurant chains regarding their site acquisition process, ground lease and general lease transactions. She is knowledgeable about the perspectives and issues facing both landlords and tenants in connection with retail and office leasing. Jen has significant expertise with the acquisition and disposition of property and equipment, commercial leasing, and tax credit financing including New Markets and Low-Income Housing tax credits.
Jen previously served as Associate General Counsel for the Saginaw Chippewa Indian Tribe of Michigan, where she acted as the primary corporate counsel for the multi-million dollar operations of Soaring Eagle Casino & Resort including entertainment contracts, slots and table games contracts, and hotel and resort contracts. During her time with the Tribe, Jen also supported the business efforts of the Tribe’s Economic Development Company. Prior to her work with the Saginaw Chippewa Indian Tribe, Jen worked as an associate at Warner Norcross & Judd LLP where she focused her practice in the areas of real estate, corporate, tax and economic incentives (tax credits).

Ari J. Rosenthal is Of Counsel with the firm of Ginsberg Jacobs LLC. Ari focuses his practice in commercial and real estate related litigation.
Prior to joining Ginsberg Jacobs LLC, Ari served as in-house counsel for Chicago Title Insurance Company, the nation’s largest title insurer from 1984 to 1990. From 1990 to 1998, he was a partner with the prominent Chicago law firm of Bell, Boyd and Lloyd, and thereafter was partner in the law firm of Thompson, Rosenthal & Watts, LLP. His experience includes litigation of complex real estate related matters such as construction defects, commercial and mechanic’s lien foreclosures, leasehold disputes, broker’s liens, lender liability and title insurance issues, as well as general business litigation involving issues of fraud, tortious interference, non-compete agreements, corporate dissolution/shareholder remedies, professional liability and insurance coverage and contract disputes. He has represented a broad range of clients, including Fortune 500, banking, finance and insurance companies.
Ari is a frequent lecturer on the enforcement and litigation of mechanic’s liens and construction disputes, having previously served as chairman of the Chicago Bar Association’s Real Estate Litigation Subcommittee.

Joel practices in numerous areas revolved around the representation of financial institutions and finance related companies. In addition to representing lenders in connection with the origination of single lender and syndicated real estate loan transactions, Joel's real estate finance practice also involves the representation of lenders with workouts and dispositions of troubled assets, including the structuring and documentation of forbearance arrangements, deed in lieu transfers and the exercise of various creditors' remedies. Joel also represents lenders in connection with both the origination of asset based and cash flow commercial lending transactions and the resolution of defaulted and distressed commercial loans including the enforcement of remedies in connection with the Uniform Commercial Code. Joel also has substantial experience with the negotiation and structure of distressed debt sales and acquisitions and has worked on numerous sales involving multiple loan obligations.
Joel also represents developers, financial institutions, REIT's and publicly held corporations with the acquisition and disposition of various real estate assets including multifamily, retail, office and industrial properties.

Janet Winningham is Of Counsel to Ginsberg Jacobs LLC with over 25 years of experience in commercial real estate acquisitions, development, construction, and finance. Janet has been named an Illinois Super Lawyer in Real Estate Finance, and one of the Top 50 Leading Women Real Estate-Related Lawyers in Illinois, based on surveys conducted by Leading Lawyers Network.
Janet has represented lenders in financing transactions including first mortgage loans, mezzanine loans, construction loans, sale-leaseback transactions and other structured financings. Janet has represented mortgage lenders and mezzanine lenders in workouts, foreclosures and loan sales. In addition, she represents owners, developers, contractors and lenders in complex project-based transactions.
Janet routinely represents tenants and landlords in specialty acquisition and leasing of office, industrial, retail, medical office and other special use facilities. She has worked with clients to plan and implement facilities acquisitions, (ground leased, term leased and owned), including build to suit and separate construction of specialty tenant improvements for laboratories, manufacturing and industrial facilities, as well as technology and office uses.
Janet has substantial experience representing owners and developers in connection with construction projects of all sizes and complexity. These projects range from single short-term projects to complex, multi-year, multi-phased, multi-million dollar developments in a wide spectrum of industries, including five-star hotels, hospital expansion and renovation projects valued over $300 million, assisted living facilities and sports facilities. Janet was formerly a partner at Katten Muchin Rosenmann, LLP and Special Counsel to McDonald’s Corporation. She started her practice at Jenner and Block.
